1. Agreement Overview
This Vendor Agreement ("Agreement") is entered into between FirstStay, a brand of FirstTrek (OPC) Private Limited ("FirstStay", "we", "us"), and the property owner or authorized representative ("Vendor", "you", "Host") who wishes to list their accommodation on our platform.
2. Platform Services
2.1 Booking Services
- Online listing and marketing of your property
- Booking management and customer communication
- Payment processing and collection
- Customer support and dispute resolution
- Performance analytics and reporting
2.2 Lead Generation Services
- Targeted lead generation in expanded geographical areas
- Premium placement in search results
- Marketing campaigns and promotional activities
- Lead qualification and customer matching
3. Commission Structure
3.1 Standard Commission
- Commission Range: 5% to 15% of the booking value
- Payment Terms: Commission deducted from guest payments before transfer
- Calculation: Based on total booking amount including taxes
- Billing Cycle: Monthly commission statements provided
3.2 Commission Factors
Commission rates are determined by:
- Property type and category (hotel, homestay, camp)
- Location and market demand
- Booking volume and performance
- Subscription plan and loyalty tier
- Seasonal adjustments and promotional periods
4. Lead Purchase Program
4.1 Individual Leads
- Basic Leads: ₹50 - ₹150 per qualified lead
- Premium Leads: ₹200 - ₹300 per high-intent lead
- Exclusive Leads: ₹350 - ₹400 per exclusive opportunity
- Lead Quality: Pre-qualified based on budget and requirements
4.2 Lead Packages
- Starter Package: ₹5,000 (includes 50-100 leads)
- Growth Package: ₹25,000 (includes 200-400 leads)
- Premium Package: ₹1,00,000 (includes 800-1200 leads)
- Enterprise Package: ₹2,50,000 (includes 2000+ leads + premium support)
5. Yearly Subscription Benefits
Premium Subscription Includes:
- Free Local Leads: All leads in your area at no additional cost
- Priority Listing: Enhanced visibility in search results
- Dedicated Support: Personal account manager
- Advanced Analytics: Detailed performance insights
- Marketing Support: Promotional campaigns and featured listings
- Reduced Commission: Lower commission rates for subscription holders
6. Vendor Responsibilities
- Maintain accurate and up-to-date property information
- Provide high-quality photos and detailed descriptions
- Honor confirmed bookings and maintain availability calendar
- Comply with local laws, regulations, and safety standards
- Respond to guest inquiries within 24 hours
- Maintain property cleanliness and safety standards
- Provide excellent customer service to guests
- Report any issues or incidents promptly
7. Payment Terms
7.1 Booking Payments
- Guest payments collected by FirstStay on vendor's behalf
- Commission deducted before payment transfer to vendor
- Payments processed within 7-14 business days after guest check-in
- Bank transfer to vendor's registered account
7.2 Lead Purchase Payments
- Advance payment required for lead purchases
- Package payments can be made in installments
- Unused lead credits valid for 12 months
- Refunds subject to lead utilization and performance
8. Quality Standards
All properties must meet FirstStay quality standards:
- Clean and well-maintained accommodations
- Basic amenities as advertised
- Safety and security measures in place
- Accurate representation in photos and descriptions
- Responsive and professional host communication
- Compliance with local hospitality regulations
9. Termination
Either party may terminate this agreement with 30 days written notice. FirstStay reserves the right to immediately suspend or terminate vendors who:
- Violate platform policies or quality standards
- Engage in fraudulent or deceptive practices
- Receive consistently poor guest reviews
- Fail to honor confirmed bookings
- Breach payment or commission obligations
